Brief Overview:
The Associate Commercial Counsel will play a critical role in the Legal department. This individual will work closely with Amwells teams, helping those Amwell achieve their goals in intelligent and practical ways.
Core Responsibilities:
- Draft, negotiate and manage commercial transactions with both international and US-based customers, partners, and vendors in support of our sales and business teams, with a focus on SAAS licensing agreements.
- Serve as negotiator, drafter, and Legal point of contact in negotiating time sensitive, large enterprise contracts.
- Collaborate with cross functional teams to ensure proper processes and approvals are obtained for key terms in commercial agreements; participate in deal desk review of non-standard terms; build and maintain strong relationships with key stakeholders and ensure that their needs and commitments are correctly reflected in commercial documents.
- Track and review key metrics via Amwells contract lifecycle management software to ensure success through the business contracting cycle.
- Review customer tender documents for commercial conditions, legal requirements, quality parameters and financial issues; review contracts and respond to questions in an efficient and timely manner.
- Develop and maintain in-depth knowledge of Amwells product and services offerings.
- Engage all levels of the business as a legal subject matter expert and influencer towards organizational needs and interests.
- Energetically contribute towards innovation and continuous improvement.
Qualifications:
- J.D. degree from an ABA-approved law school, and a current license within a US state
- Previous experience negotiating and drafting software and SAAS agreements; previous experience in health care preferred.
- Minimum 3 years of practicing, in-house experience.
- Demonstrated drive to execute and deliver optimal results for the business in a dynamic, high-growth, entrepreneurial environment.
- Confidence and comfort in ambiguous situations and analysis.
- Strong commercial and legal mindset, with an ability to identify important contractual issues and explain them succinctly to non-lawyers.
- The ability to work independently with little oversight and to effectively influence and advise at all levels of an organization.
- Organized and detail oriented.
- Excellent written and verbal communication skills.
- Demonstrated ability to make rational risk-based decisions during negotiations.
- Ability to quickly grasp commercial models, related pricing processes, systems and controls.
- Skills to manage multiple projects at a time in a fast-paced and dynamic environment.
- Proficient in MS Office software and contract management tools

The typical base salary range for this position is $100,560-$138,270. The actual salary offer will ultimately depend on multiple factors including, but not limited to, knowledge, skills, relevant education, experience, complexity or specialization of talent, and other objective factors. In addition to base salary, this role may be eligible for an annual bonus based on a combination of company performance and employee performance. Long-term incentive and short-term variable compensation may be offered as part of the compensation package dependent on the role. Some roles may be commission based, in which case the total compensation will be based on a commission and the above range may not be an accurate representation of total compensation.
